1. Acceptance of Terms

By accessing and using the SpendWise AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use SpendWise.

SpendWise AI ("Company", "we", "us", or "our") reserves the right to modify these Terms at any time. Changes will be effective when posted, and your continued use of the Service constitutes acceptance of the modified Terms.

2. Use of Service

When you access SpendWise, you agree to use it only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service.

2.1 Prohibited Conduct

You agree not to:

• Engage in any form of harassment, abuse, or threats directed at other users or SpendWise staff.
• Systematically scrape, crawl, or extract data from SpendWise without authorization.
• Attempt to reverse-engineer, decompile, or discover the source code of SpendWise or its AI algorithms.
• Use automated tools or bots to access the Service beyond authorized rate limits.
• Transmit viruses, malware, or any code that seeks to disrupt, disable, or harm SpendWise.
• Conduct phishing, social engineering, or other fraudulent activities.
• Violate any applicable laws, regulations, or third-party rights.
• Attempt to gain unauthorized access to user accounts or SpendWise systems.

2.2 Rate Limiting

SpendWise implements rate limiting on API requests and AI queries. Excessive requests beyond the limits specified in your subscription tier may be blocked, and accounts engaging in systematic abuse may be suspended or terminated.

3. User Accounts & Responsibilities

When you create a SpendWise account, you are responsible for:

• Maintaining the confidentiality of your account credentials.
• Using a strong, unique password (minimum 8 characters).
• Not sharing your account with other people.
• Notifying us immediately if you suspect unauthorized access to your account.

3.2 Account Information

You are responsible for the accuracy and completeness of information you provide when creating your account. You agree to keep your account information current and accurate.

3.3 User Content

By entering financial data and other information into SpendWise ("User Content"), you represent that:

• You own or have the right to use the information.
• The information does not violate third-party rights or laws.
• You grant SpendWise a license to use your data to provide the Service and improve our algorithms (with privacy protections in place).

4. Subscription & Billing

4.1 Subscription Plans

SpendWise offers a Free Plan and a Pro Plan. The Pro Plan is priced at ₹49/month (or INR equivalent).

4.2 Free Plan

• Basic expense tracking and categorization.
• Limited AI insights (5 queries per week).
• Basic budgeting tools.
• No cost—completely free to use.

4.3 Pro Plan

• Unlimited expense tracking and budgeting.
• Unlimited AI-powered insights and queries using Mixtral AI.
• Advanced analytics and spending forecasts.
• Premium support.
• Auto-renewable monthly subscription at ₹49/month.

4.4 Automatic Renewal

4.5 Payment Method

• Payments are processed through Razorpay, a PCI-DSS Level 1 compliant payment processor.
• We accept all major credit cards and digital payment methods supported by Razorpay.
• You authorize us to charge your selected payment method for subscription renewals.

4.6 Failed Payments

If a payment fails:

• We will attempt to retry the payment up to 3 times over several days.
• You will receive email notification of the failed payment.
• If payment ultimately fails, your account will be downgraded to the Free Plan.
• You are responsible for providing accurate payment information.

5. Refund Policy

5.1 Monthly Subscriptions

• No pro-rata refunds: Refunds are not issued for partially used months.
• Full month guarantee: You get full access to your subscription tier for the entire billing period, even if you cancel mid-month.
• Subscription access: If you cancel, your Pro Plan access will remain active until your current billing period ends.

5.2 Cancellation & Refunds

You can cancel your subscription at any time through your account settings. No refund will be issued for the current billing month, but you will not be charged again after cancellation.

5.3 Exceptions

In exceptional circumstances (billing errors, unauthorized charges, or system failures), please contact support@spendwise.ai with details, and we will review your request on a case-by-case basis.

6. Intellectual Property

SpendWise and all its content, features, and functionality (including the AI algorithms, design, and code) are the exclusive property of SpendWise AI and its licensors.

6.1 License Grant

We grant you a limited, non-exclusive, revocable license to access and use SpendWise solely for personal, non-commercial purposes.

6.2 Restrictions

You agree not to:

• Copy, modify, or create derivative works of SpendWise or its content.
• Reproduce, distribute, or transmit SpendWise without authorization.
• Reverse-engineer or attempt to discover proprietary algorithms.
• Use SpendWise's branding, logos, or trademarks without permission.

7. Limitation of Liability & Disclaimer

SpendWise provides analytical tools and AI-generated insights to help you understand your spending patterns. These insights do NOT constitute financial, investment, tax, or legal advice.

• SpendWise is designed for personal observation and education.
• Always consult a certified financial advisor, CPA, or tax professional for important financial decisions.
• We are not responsible for the consequences of any financial decisions made based on SpendWise insights.

7.3 Limitation of Damages

To the maximum extent permitted by law, SpendWise shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Any damages exceeding the amount you paid to SpendWise in the 12 months preceding the incident.

7.4 Service Interruptions

We strive for 99.5% uptime but do not guarantee uninterrupted service. We are not liable for:

• Service interruptions or downtime.
• Data loss due to service failures, bugs, or accidents.
• Loss of access to your account or data.

7.5 Third-Party Services

SpendWise integrates with third-party services (Razorpay, Mistral AI, etc.). We are not responsible for:

• Third-party service failures or data breaches.
• Compromises in third-party security or privacy.
• Changes to third-party services or pricing.

8. Termination

8.1 User Termination

You can delete your account at any time through your account settings. Upon termination:

• Your account will be deactivated immediately.
• Your data will be deleted within 30 days (unless retention is legally required).
• You will not receive refunds for any remaining subscription period.

8.2 SpendWise Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy.
• Engage in fraudulent or illegal activity.
• Attempt to disrupt or abuse the Service.
• Fail to pay subscription fees after 30 days of being overdue.

We will provide notice prior to termination unless the violation is severe or ongoing abuse.

8.3 Effect of Termination

Upon termination, your right to use SpendWise ceases immediately. Provisions that survive termination include limitations of liability, indemnification, and governing law.

9. Indemnification

You agree to defend, indemnify, and hold harmless SpendWise and its officers, directors, employees, and agents from any claims, damages, losses, or costs arising from:

• Your use of the Service in violation of these Terms.
• Your infringement of third-party rights.
• User Content you provide.
• Your violation of laws or regulations.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

10.1 Dispute Resolution

Any disputes arising from these Terms or your use of SpendWise shall be resolved through:

• First: Good-faith negotiation between you and SpendWise.
• Second: Mediation to reach a mutually acceptable resolution.
• Third: Binding arbitration or litigation in courts located in India.

10.2 Class Action Waiver

You agree that any dispute will be resolved individually, and you waive the right to participate in class action lawsuits against SpendWise.

11. Modifications to Service

SpendWise reserves the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time.

• We will provide reasonable notice of material changes.
• Changes will not retroactively affect existing subscription terms.
• Continued use of the Service after changes constitutes acceptance.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpendWise regarding your use of the Service. These Terms supersede all prior agreements, understandings, and negotiations.
